Terms of Use

PLEASE READ THESE TERMS OF USE CAREFULLY. These Terms of Use, together with any applicable order form, quote, statement of work, service schedule, product-specific terms, acceptable use policy, privacy policy, or other written agreement that expressly references these Terms of Use, form a legal agreement between you and Inventive Labs Corporation d/b/a Voice Elements (“Voice Elements,” “we,” “us,” or “our”).

By accessing or using www.voiceelements.com or any other Voice Elements website, portal, software, API, telecommunications service, messaging service, hosted service, support service, documentation, downloadable software, or other product or service provided by Voice Elements (collectively, the “Services”), you agree to be bound by these Terms of Use. If you are using the Services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms of Use, and “you” and “your” refer to that entity.

If you do not agree to these Terms of Use, you must not access or use the Services.


1. Scope of Services

Voice Elements provides communications-related products and services, which may include, without limitation, voice services, telephone numbers, SIP trunking, hosted telephony features, Microsoft Teams-related voice services, APIs, software development tools, call routing, call logging, call recording, transcription, SMS or messaging services, reporting, account portals, technical support, documentation, and other related products or services made available through Voice Elements or through www.voiceelements.com.

The specific Services available to you are determined by the product or service you purchase, subscribe to, access, or are authorized to use. Some Services may be subject to additional product-specific descriptions, limitations, technical requirements, pricing, usage restrictions, service schedules, or written agreements. If there is a conflict between these Terms of Use and a signed written agreement between you and Voice Elements, the signed written agreement will control to the extent of the conflict.

Voice Elements may modify, add, discontinue, or replace features or Services from time to time, subject to any applicable written agreement between you and Voice Elements.


2. Product Descriptions, Pricing, and Changes

Information about the Services, including descriptions, features, pricing, limitations, add-ons, taxes, fees, usage charges, data retention periods, storage limits, and technical requirements, may be listed on the Site, in your account portal, in a quote, in an order form, or in other Voice Elements materials.

Voice Elements may change the Services, pricing, fees, usage limits, or product descriptions from time to time. If Voice Elements materially increases recurring subscription pricing under your account, Voice Elements will provide notice when reasonably practicable before the increase takes effect. However, taxes, regulatory fees, carrier charges, governmental charges, third-party costs, or other charges outside Voice Elements’ control may change without advance notice.

You are responsible for reviewing the applicable product information, fees, and usage limitations before purchasing or using the Services.


3. Your Account

You may be required to create an account to purchase, access, administer, or use certain Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, including purchases, configuration changes, usage, and communications.

You agree to provide accurate, current, and complete account information and to keep that information updated, including your billing information, contact information, service addresses, emergency service addresses, and administrative contacts.

Voice Elements may access, preserve, and disclose account information, usage information, communications with Voice Elements, service configuration, billing records, and other information if required by law, legal process, subpoena, court order, regulatory request, carrier request, or if Voice Elements reasonably believes that such action is necessary to protect Voice Elements, its customers, users, vendors, carriers, networks, services, or the public.


4. Authorized Use

You may use the Services only for lawful business purposes and only in accordance with these Terms of Use, applicable documentation, applicable law, and any product-specific limitations or written agreements.

You are responsible for all use of the Services by your employees, contractors, agents, users, customers, end users, applications, systems, and anyone else who accesses or uses the Services through your account, credentials, systems, telephone numbers, software, or configuration.

You must not use the Services in a manner that interferes with, disrupts, damages, overloads, or impairs Voice Elements’ systems, networks, providers, carriers, customers, or other users.


5. Acceptable Use

You agree not to use, permit, or facilitate use of the Services for any unlawful, abusive, fraudulent, deceptive, harmful, or inappropriate purpose, including without limitation:

  1. Telemarketing, autodialing, predictive dialing, robocalling, mass calling, lead generation, traffic pumping, call stimulation, or similar activity, except where expressly authorized by Voice Elements in writing and conducted in full compliance with applicable law;
  2. Sending spam, unsolicited messages, unlawful SMS or messaging traffic, unlawful marketing communications, or communications that violate carrier rules, campaign registration requirements, opt-in/opt-out requirements, or applicable law;
  3. Using false, misleading, spoofed, inaccurate, or unauthorized caller ID, sender ID, branding, identity, or source information;
  4. Harassing, threatening, defaming, abusing, exploiting, or harming any person or vulnerable population, including minors, elderly persons, or persons who cannot provide informed consent;
  5. Fraud, impersonation, phishing, credential theft, social engineering, scams, or deceptive practices;
  6. Recording, monitoring, transcribing, storing, or disclosing calls, messages, or communications without all notices and consents required by applicable law;
  7. Violating privacy, data protection, consumer protection, telecommunications, export, intellectual property, anti-spam, Do-Not-Call, TCPA, CAN-SPAM, COPPA, or similar laws or regulations;
  8. Infringing or misappropriating the intellectual property, privacy, publicity, contractual, or other rights of any person or entity;
  9. Uploading, transmitting, or distributing viruses, malware, spyware, malicious code, or harmful content;
  10. Attempting to gain unauthorized access to any system, network, account, API, software, or service;
  11. Reverse engineering, scraping, probing, scanning, testing, bypassing limitations, or circumventing security controls except to the extent expressly permitted by applicable law or authorized by Voice Elements in writing;
  12. Using the Services to provide emergency services, life-safety services, medical monitoring, critical infrastructure communications, or other high-risk uses unless Voice Elements has expressly agreed to such use in writing;
  13. Reselling, renting, leasing, sublicensing, lending, timesharing, or otherwise providing the Services to third parties except as expressly authorized by Voice Elements in writing; or
  14. Any use that Voice Elements reasonably determines may harm Voice Elements, its customers, vendors, carriers, networks, services, reputation, or the public.

Voice Elements may investigate suspected violations and may suspend or terminate Services, block traffic, remove content, restrict features, or take other action when Voice Elements reasonably believes such action is necessary to protect the Services, comply with law, comply with carrier or vendor requirements, or prevent harm.


6. Telecommunications, Messaging, and Regulatory Compliance

Certain Services may involve voice, messaging, telephone numbers, call routing, telecom carriers, emergency calling, regulatory fees, taxes, caller ID, SMS campaign registration, call recording, call transcription, or other regulated communications features.

You are solely responsible for ensuring that your use of the Services complies with all applicable laws, regulations, industry rules, carrier requirements, registration requirements, consent requirements, recordkeeping obligations, and consumer protection requirements. These may include, without limitation, laws and rules related to TCPA, TSR, CAN-SPAM, Do-Not-Call, STIR/SHAKEN, caller ID, call recording, call monitoring, SMS consent, A2P messaging, privacy, data protection, and emergency calling.

Voice Elements may require you to provide information, certifications, registrations, use-case descriptions, campaign details, customer information, or other documentation required by law, carriers, messaging providers, vendors, or Voice Elements’ compliance processes. Failure to provide accurate and timely information may result in delay, rejection, suspension, or termination of Services.


7. Emergency Calling and E-911

Emergency calling features, including 911 or E-911, may be available only for certain Services, in certain locations, and subject to additional fees, configuration requirements, limitations, or product-specific terms.

You acknowledge that emergency calling through internet-based, VoIP, hosted, mobile, remote-work, software-based, or third-party-integrated services may differ from traditional wireline 911 service. Emergency calls may not function correctly if the Service is unavailable, misconfigured, suspended, disconnected, moved to another physical location, used from an unregistered location, affected by power failure, affected by internet failure, or affected by third-party network or carrier issues.

You are responsible for providing and maintaining accurate emergency service addresses and for promptly updating those addresses when users, devices, phone numbers, or services are moved. If Services are used from a location different from the registered address, emergency responders may not receive the correct location information.

Voice Elements recommends that you maintain an alternative means of contacting emergency services.


8. Telephone Numbers and Porting

Voice Elements may make telephone numbers available to you or may assist with porting numbers to or from Voice Elements’ service providers. You do not own telephone numbers assigned to you. Your right to use a telephone number is subject to applicable law, carrier rules, numbering availability, regulatory requirements, payment of all amounts due, and continued use of the applicable Service.

Number porting is dependent on third-party carriers and may be delayed, rejected, or affected by inaccurate information, unpaid balances, carrier requirements, regulatory rules, or other factors outside Voice Elements’ control. You are responsible for providing accurate porting information and authorization.

If your account is terminated or suspended, or if amounts are past due, Voice Elements may restrict your ability to port numbers except to the extent prohibited by applicable law.


9. Subscriptions, Billing, Taxes, and Fees

Some Services are provided on a subscription basis. By purchasing or subscribing to Services, you authorize Voice Elements or its payment processor to charge your payment method for recurring subscription fees, usage charges, add-ons, taxes, regulatory fees, carrier fees, setup fees, overage charges, and any other applicable charges.

Unless otherwise stated in a written agreement, subscriptions renew automatically for successive billing periods until canceled. You are responsible for all charges incurred before cancellation becomes effective. Cancellation does not relieve you of your obligation to pay charges already incurred.

If your payment method fails, if your account is past due, or if Voice Elements cannot collect amounts owed, Voice Elements may suspend or terminate the Services, restrict features, charge late fees where permitted, or require updated payment information before restoring Services.

All fees are non-refundable unless otherwise expressly stated in writing by Voice Elements or required by applicable law.


10. Fair Use and Excessive Use

Unless expressly agreed otherwise in writing, the Services are intended for normal, reasonable business use consistent with the type and level of usage by similarly situated Voice Elements customers using comparable Services.

Voice Elements may determine that usage is excessive, abnormal, abusive, fraudulent, or inconsistent with the applicable Service where usage materially exceeds typical customer usage, imposes excessive load, creates carrier issues, causes regulatory concerns, suggests resale or call center activity not authorized by Voice Elements, or otherwise affects the Services.

Voice Elements may require you to move to a different plan, pay additional charges, reduce usage, modify your configuration, or enter into a separate written agreement. Voice Elements may suspend or terminate Services for excessive, abusive, fraudulent, or unauthorized use.


11. Customer Data, Backups, Retention, and Responsibility

You are responsible for the content, data, audio, recordings, messages, transcripts, files, configurations, logs, contacts, customer information, and other information that you or your users submit to, transmit through, generate with, or store using the Services (“Customer Data”).

You represent that you have all rights, permissions, notices, and consents necessary for Voice Elements to process Customer Data in connection with providing the Services.

Unless otherwise agreed in writing, you are responsible for backing up Customer Data that you wish to retain, including voicemails, recordings, transcripts, reports, logs, messages, and configuration information. Voice Elements may apply retention limits, storage limits, deletion policies, or product-specific retention periods. Voice Elements is not responsible for loss of Customer Data except to the extent expressly stated in a written agreement.


12. Privacy and Security

Voice Elements’ Privacy Policy applies to personal information collected through the Site and Services and is incorporated into these Terms of Use by reference.

You acknowledge that no internet, telecommunications, messaging, hosting, storage, or electronic communications service can be guaranteed to be completely secure, uninterrupted, or error-free. Voice Elements uses commercially reasonable measures designed to protect information under its control, but Voice Elements does not guarantee that unauthorized access, loss, interception, corruption, or disclosure will never occur.

You are responsible for securing your systems, applications, devices, networks, credentials, API keys, integrations, and user access.


13. Support Services

Voice Elements may provide support services in its discretion or as described in an applicable written agreement, support plan, documentation, or product description. Support may be provided by email, phone, portal, remote access, documentation, or other means determined by Voice Elements.

Any software, documentation, scripts, recommendations, updates, configurations, or other materials provided as part of support services are subject to these Terms of Use unless separate terms apply.

Voice Elements is not obligated to provide support for modified software, unsupported configurations, third-party systems, customer equipment, customer networks, outdated versions, or uses outside the scope of the applicable Service.


14. Software, APIs, Documentation, and License Restrictions

Voice Elements and its licensors own all rights, title, and interest in and to the Services, including software, APIs, SDKs, documentation, websites, portals, user interfaces, systems, code, designs, trademarks, service marks, content, and related intellectual property.

Subject to these Terms of Use and your payment of applicable fees, Voice Elements grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services solely for your internal business purposes or as otherwise expressly authorized by Voice Elements in writing.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, create derivative works from, bypass security controls, or otherwise exploit the Services except as expressly permitted by these Terms of Use, applicable documentation, a written agreement, or applicable law notwithstanding this restriction.


15. Feedback and Communications

If you submit suggestions, ideas, comments, questions, improvements, feature requests, or other feedback to Voice Elements, you grant Voice Elements a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable right to use, reproduce, modify, distribute, display, perform, and otherwise exploit that feedback for any purpose without restriction or compensation to you.

This section does not grant Voice Elements ownership of your Customer Data.


16. Voice Elements Content, Copyrights, and Trademarks

The Site and Services may contain text, graphics, logos, images, videos, audio, documentation, code samples, product information, designs, icons, trademarks, service marks, and other materials owned by or licensed to Voice Elements (“Voice Elements Content”).

Except as expressly permitted by Voice Elements, you may not copy, reproduce, publish, distribute, display, perform, modify, create derivative works from, scrape, mine, frame, deep link, or commercially exploit Voice Elements Content.

All Voice Elements names, logos, product names, service names, and marks are trademarks or service marks of Voice Elements or its affiliates. Other names and marks may be the property of their respective owners. No license to use any trademark or service mark is granted by these Terms of Use.


17. Copyright Complaints

Voice Elements respects the intellectual property rights of others. If you believe material available through the Services infringes your copyright, you may notify Voice Elements at:

Your notice should include sufficient information for Voice Elements to identify the allegedly infringing material, identify the copyrighted work claimed to be infringed, contact you, and evaluate the claim. Voice Elements may remove or disable access to allegedly infringing material and may terminate accounts of users who Voice Elements determines are repeat infringers or who otherwise violate intellectual property rights.


18. Third-Party Services, Providers, and Integrations

The Services may interoperate with, rely on, or link to third-party products, services, carriers, networks, platforms, software, websites, payment processors, cloud providers, messaging providers, Microsoft products, customer systems, APIs, or other third-party services (“Third-Party Services”).

Voice Elements does not control Third-Party Services and is not responsible for their availability, performance, security, content, terms, privacy practices, failures, outages, pricing, changes, or discontinuation. Your use of Third-Party Services may be subject to separate terms and conditions imposed by those third parties.

Voice Elements is not liable for any loss, damage, delay, outage, incompatibility, or failure caused by Third-Party Services or by your systems, equipment, networks, software, or configurations.


19. Availability and Service Changes

Voice Elements aims to make the Services available on a reliable basis, but the Services may be unavailable, interrupted, delayed, degraded, modified, suspended, or discontinued at any time due to maintenance, upgrades, network conditions, carrier issues, vendor issues, security events, regulatory requirements, customer configuration, force majeure events, or other reasons.

Voice Elements may modify, suspend, discontinue, replace, limit, or update any Service, feature, content, software, API, documentation, equipment requirement, or functionality at any time, with or without notice, except as otherwise expressly provided in a written agreement.


20. Suspension and Termination

You may stop using the Services or cancel subscriptions as provided in your account portal, order form, or applicable written agreement. Unless otherwise stated in writing, cancellation will not result in a refund of fees already paid or incurred.

Voice Elements may suspend or terminate your access to the Services, in whole or in part, if:

  1. You violate these Terms of Use or any applicable written agreement;
  2. Your account is past due or payment fails;
  3. Your use creates risk, liability, regulatory concern, carrier concern, security concern, or operational harm;
  4. Voice Elements is required to do so by law, legal process, carrier, vendor, or governmental authority;
  5. Your use is suspected to be fraudulent, abusive, unlawful, or harmful; or
  6. Voice Elements discontinues the applicable Service.

Upon termination, your right to use the Services ends immediately, and Voice Elements may delete or disable access to Customer Data in accordance with applicable retention policies, product terms, or written agreements.


21. Export Compliance and Sanctions

You agree to comply with all applicable U.S. and international export control, sanctions, and trade compliance laws and regulations, including the U.S. Export Administration Regulations and regulations administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control.

You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive U.S. sanctions, and that you are not listed on any U.S. government restricted party list. You may not use, export, re-export, transfer, or provide access to the Services in violation of applicable export control or sanctions laws.

You may not use the Services for any prohibited end use, including the development, design, manufacture, or production of nuclear, chemical, biological, or missile weapons, or any unlawful telecommunications, surveillance, fraud, or intellectual property activity.


22. Limited Warranty

For Services acquired in the United States or Canada, Voice Elements warrants that the Services will perform substantially in accordance with the applicable product description, documentation, or written agreement, provided that the Services have not been modified, misused, abused, or used outside their intended scope.

This limited warranty does not apply to beta services, trial services, free services, third-party services, customer equipment, customer networks, customer software, unsupported configurations, customer modifications, or issues caused by factors outside Voice Elements’ reasonable control.

Some jurisdictions do not allow limitations on implied warranties, so some limitations may not apply to you.


23. Disclaimer of Warranties

EXCEPT FOR THE LIMITED WARRANTY EXPRESSLY STATED ABOVE OR IN A SIGNED WRITTEN AGREEMENT, THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOICE ELEMENTS AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, NON-INFRINGEMENT, RELIABILITY, AVAILABILITY, ACCURACY, COMPLETENESS, SECURITY, ERROR-FREE OPERATION, UNINTERRUPTED OPERATION, AND LACK OF VIRUSES OR HARMFUL COMPONENTS.

VOICE ELEMENTS DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ALL DEFECTS WILL BE CORRECTED, OR THAT COMMUNICATIONS, CALLS, MESSAGES, RECORDINGS, TRANSCRIPTS, REPORTS, OR DATA WILL BE DELIVERED, PRESERVED, OR AVAILABLE IN ALL CIRCUMSTANCES.


24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VOICE ELEMENTS OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COST OF SUBSTITUTE SERVICES, LOSS OF PRIVACY, PERSONAL INJURY, OR FAILURE OF COMMUNICATIONS, WHETHER ARISING IN CONTRACT, TORT, STRICT LIABILITY, WARRANTY, STATUTE, OR OTHERWISE, EVEN IF VOICE ELEMENTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOICE ELEMENTS’ TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO VOICE ELEMENTS FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) FIVE HUNDRED U.S. DOLLARS ($500.00).

The limitations in this section apply even if any remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions or limitations of damages, so some limitations may not apply to you.


25. Exclusive Remedy

Your exclusive remedy for any breach of the limited warranty or for any failure of the Services will be, at Voice Elements’ option and subject to applicable law: (a) correction, repair, replacement, or re-performance of the applicable Service; or (b) refund of amounts paid for the affected Service during the period in which the Service failed to substantially conform to the applicable limited warranty.


26. Indemnification

You agree to defend, indemnify, and hold harmless Voice Elements and its officers, directors, employees, contractors, agents, affiliates, suppliers, vendors, and carriers from and against any claims, demands, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  1. Your use or misuse of the Services;
  2. Your Customer Data;
  3. Your violation of these Terms of Use or any applicable written agreement;
  4. Your violation of applicable law, regulation, carrier requirement, or third-party right;
  5. Your products, services, systems, applications, integrations, customers, users, or end users; or
  6. Communications, calls, messages, recordings, transcripts, content, or traffic sent, received, stored, processed, or enabled through your account or systems.

Voice Elements may assume control of the defense of any matter subject to indemnification, and you agree to cooperate with Voice Elements in the defense of such claims.


27. Communications from Voice Elements

If you provide an email address, mailing address, phone number, or other contact information to Voice Elements, you consent to receive communications from Voice Elements regarding the Services, including account notices, billing notices, service notices, compliance notices, support communications, updates, product information, and other business communications.

Electronic communications satisfy any legal requirement that communications be in writing unless applicable law requires otherwise.


28. Phone and SMS Communications with Voice Elements

If you provide a phone number to Voice Elements, you consent to receive phone calls or text messages from Voice Elements. We respond conversationally to requests relating to your account, support needs, appointments, or services. Message frequency may vary. Message and data rates may apply. Please review our Privacy Policy for additional information. You may request help by replying “HELP” where supported. You may opt out of text messages by replying “STOP” where supported. After receiving a STOP request, Voice Elements may send a confirmation message and then cease further text messages to that number except as permitted by law.

Your consent to receive text messages is not required as a condition of purchasing Services.


29. Driving and Safety

You are responsible for complying with all laws and safety requirements when using the Services, including laws relating to mobile device use, hands-free calling, distracted driving, workplace safety, and similar requirements.


30. Age and Eligibility

The Services may be used only by individuals who are at least 18 years old and capable of entering into legally binding contracts. The Site may be viewed by individuals who are at least 13 years old, but individuals under 18 may not purchase or subscribe to Services.

You may not use the Services if you are barred from doing so under applicable law.


31. Changes to These Terms

Voice Elements may modify these Terms of Use from time to time. Changes are effective when posted on the Site or otherwise made available to you, unless a later effective date is stated.

Your continued use of the Services after updated Terms of Use become effective constitutes your acceptance of the updated Terms of Use. Voice Elements encourages you to review these Terms of Use periodically.


32. Governing Law and Venue

These Terms of Use and any dispute arising out of or relating to the Services are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.

You agree that any action arising out of or relating to these Terms of Use or the Services must be brought exclusively in the state or federal courts located in Denver, Colorado, and you consent to personal jurisdiction and venue in those courts. You waive any objection based on lack of personal jurisdiction, improper venue, or forum non conveniens.


33. Time Limitation for Claims

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY DISPUTE, CLAIM, OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SERVICES MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES. OTHERWISE, THE CLAIM IS PERMANENTLY BARRED.


34. Entire Agreement; Order of Precedence

These Terms of Use, together with any applicable order form, quote, statement of work, service schedule, product-specific terms, acceptable use policy, privacy policy, or signed written agreement, constitute the entire agreement between you and Voice Elements regarding the Services and supersede all prior or contemporaneous communications, proposals, and representations regarding the Services.

If there is a conflict among documents, the following order of precedence applies unless expressly stated otherwise in a signed written agreement:

  1. A signed written agreement between you and Voice Elements;
  2. An applicable order form, quote, statement of work, or service schedule;
  3. Product-specific terms;
  4. These Terms of Use;
  5. Documentation, website descriptions, or support materials.

35. Severability

If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid, illegal, or unenforceable provision will be enforced to the maximum extent permitted by law or replaced by a valid provision that most closely reflects the original intent.


36. Waiver

No failure or delay by Voice Elements in exercising any right, power, or remedy under these Terms of Use will operate as a waiver. Any waiver must be in writing and signed by Voice Elements. A waiver of one breach will not constitute a waiver of any other or subsequent breach.


37. Assignment

You may not assign or transfer these Terms of Use or any rights or obligations under them without Voice Elements’ prior written consent. Voice Elements may assign or transfer these Terms of Use, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.


38. Force Majeure

Voice Elements will not be liable for any delay, failure, outage, interruption, degradation, or inability to perform resulting from events beyond its reasonable control, including acts of God, natural disasters, labor disputes, war, terrorism, civil unrest, governmental action, regulatory action, carrier failure, supplier failure, internet failure, power failure, cyberattack, denial-of-service attack, pandemic, emergency conditions, or failures of third-party services.

Product-Specific Addendum Language

Voice Elements may maintain separate product-specific schedules for items not included in these general Terms of Use. The following addenda apply when the referenced Services are used:

Microsoft Teams Voice Services Addendum

Certain Voice Elements Services may be designed for use with Microsoft Teams or Microsoft Phone System. Use of those Services may require an active Microsoft subscription, appropriate Microsoft licensing, administrative permissions, and configuration of Microsoft tenant settings. Microsoft products and services are Third-Party Services and are not controlled by Voice Elements. Voice Elements is not responsible for Microsoft service availability, licensing, configuration changes, feature changes, outages, or third-party terms.

Call Recording and Transcription Addendum

If you enable call recording, call monitoring, voicemail transcription, call transcription, AI analysis, or similar features, you are responsible for providing all notices and obtaining all consents required by applicable law. You are also responsible for determining whether recordings, transcripts, summaries, or analytics may be legally created, stored, reviewed, transferred, or disclosed in each jurisdiction applicable to the communication.

SMS/Messaging Addendum

Messaging services may require brand registration, campaign registration, carrier approval, opt-in records, opt-out handling, content compliance, and adherence to carrier and industry rules. Voice Elements may suspend, block, filter, or reject messages that violate applicable law, carrier requirements, campaign requirements, or Voice Elements policies.

API/Developer Tools Addendum

Use of APIs, SDKs, sample code, developer tools, or downloadable software may be subject to rate limits, authentication requirements, security requirements, version changes, deprecation, and additional technical restrictions. You are responsible for safeguarding API keys, tokens, credentials, and integration endpoints.
